1. Professional Recitals and Scope

Start with a formal identification of the "Parties" (Caterer and Client) and a detailed "Scope of Services".

  • Performance Standard: Explicitly state that services will be performed in a "safe, good, and workmanlike manner" by trained personnel.

  • Menu Flexibility: Include a clause allowing for "minor substitutions" if ingredients are unavailable due to market conditions beyond your control.

2. Financial & Strict Payment Clauses

  • Consideration: Clearly define the "Compensation" as a legal exchange of value for services.

  • Tiered Cancellation Schedule: Use a formal schedule to protect revenue (e.g., 50% refund at 120 days, 0% within 10 days).

  • Final Guarantee: Define a "Final Guest Count" deadline (e.g., 10 business days prior). State that this number is the minimum billing amount and cannot be reduced after the deadline.

3. Risk Management (The "Legal Heavyweights")

These clauses are essential for professional liability protection:

  • Indemnification: The Client must agree to "indemnify and hold harmless" the Caterer against claims arising from guest misconduct, third-party negligence, or venue conditions.

  • Limitation of Liability: Limit your total liability to the amount paid under the contract, specifically excluding indirect or consequential damages.

  • Force Majeure: Protect yourself from liability if you cannot perform due to "Acts of God," pandemics, strikes, or government orders.

  • Safe Environment: Include a "Right to Withdraw" clause if staff are subjected to an unsafe or hostile environment.

4. Operational & Regulatory Compliance

  • Alcohol Service: If providing bartenders, state that you reserve the right to "refuse service to minors or visibly intoxicated guests" and that you carry Liquor Liability Insurance.

  • Governing Law: Specify which state's laws (e.g., "the State of South Carolina") will govern any disputes.

  • Attorney’s Fees: State that the prevailing party in any legal dispute is entitled to recover reasonable attorney’s fees and court costs.

5. Standard Boilerplate Provisions

  • Entire Agreement: A "Merger Clause" stating this document supersedes all prior oral or written agreements.

  • Severability: If one part of the contract is found invalid by a court, the rest remains in effect.

  • Independent Contractor Status: Clarify that the Caterer is an independent contractor, not an employee of the Client.
